3. Payment Terms

Invoices: Invoices will be issued upon completion of milestones as outlined in the Agreement.

Payment Due Date:Payments are due within 30 days of the invoice date unless otherwise specified.

Late Payments:Late payments will incur a late fee of 1.5% per month on the outstanding balance.

4. Client Responsibilities<

Content:The Client is responsible for providing all necessary content, including text, images, and other materials required for the completion of the project.

Feedback:Timely feedback and approvals are required to ensure project deadlines are met.

5. Intellectual Property

OwnershipUpon full payment, the Client will own the final deliverables. Digital Gini retains ownership of all design and development tools, methodologies, and know-how used in the project.

License:The Client is granted a non-exclusive, non-transferable license to use the final deliverables for their intended purpose.

6. Confidentiality

Both parties agree to keep all confidential information shared during the course of the project private and not disclose it to any third party without prior written consent.

7. Warranties and Liability

Warranties:Digital Gini warrants that the services provided will be performed in a professional and workmanlike manner.

Limitation of Liability:Digital Gini’s liability is limited to the amount paid by the Client for the services. Digital Gini is not liable for any indirect, incidental, or consequential damages arising from the use of our services.

8. Termination

Termination by Client:The Client may terminate the Agreement at any time with written notice. The Client will be responsible for payment for all work completed up to the date of termination.

Termination by Digital Gini: Digital Gini may terminate the Agreement if the Client fails to comply with these Terms and Conditions or fails to make payment as required.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of [Your Jurisdiction], and any disputes relating to these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of [Your Jurisdiction].
